Professional terms governing institutional liquidity and market making services

1. Service Agreement

These Terms of Service govern your access to and use of IUXBank's institutional liquidity provision and market making services. By accessing our services, you acknowledge that you are a qualified institutional counterparty or eligible contract participant with the authority to enter into this agreement.

2. Eligibility & Qualification

Our services are exclusively available to:

  • Qualified Institutional Buyers (QIBs) as defined under Rule 144A
  • Eligible Contract Participants (ECPs) under the Commodity Exchange Act
  • Professional Clients under MiFID II regulations
  • Authorized Financial Institutions with appropriate regulatory permissions

3. Service Description

IUXBank provides the following institutional services:

  • Liquidity Provision: Market making across FX, crypto, and equity markets
  • Algorithmic Trading: High-frequency trading strategies and execution algorithms
  • Risk Management: Real-time monitoring, controls, and reporting systems
  • Market Intelligence: Analytics, research, and market microstructure insights

4. Client Responsibilities

As a client, you agree to:

  • Maintain Eligibility: Ensure continued qualification as an institutional counterparty
  • Provide Accurate Information: Supply complete and current account and entity information
  • Comply with Regulations: Adhere to all applicable laws and regulatory requirements
  • Risk Management: Implement appropriate risk controls and position limits
  • System Security: Maintain secure access credentials and report any breaches immediately

5. Trading & Execution

Trading activities are subject to the following terms:

  • Best Execution: We provide best execution consistent with regulatory requirements and market conditions
  • Market Conditions: Execution quality may vary during volatile or illiquid market conditions
  • System Availability: Services operate on a best-efforts basis with planned maintenance windows
  • Order Handling: All orders are subject to our risk management and compliance systems

6. Fees & Charges

Fees are determined based on trading volume, asset classes, and service levels as specified in your Master Services Agreement. All fees are exclusive of applicable taxes, regulatory charges, and third-party costs.

7. Risk Disclosure & Limitations

Trading involves substantial risk of loss. Market making and liquidity provision strategies may result in significant losses during adverse market conditions. Past performance is not indicative of future results.

8. Limitation of Liability

IUXBank's liability is limited to direct damages and excludes consequential, indirect, or punitive damages. Our maximum liability shall not exceed the fees paid by you in the twelve months preceding the claim.

9. Dispute Resolution

Disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association. The arbitration shall be conducted in New York, NY, and governed by New York law.

10. Termination

Either party may terminate this agreement with 30 days' written notice. IUXBank may terminate immediately for breach, regulatory requirements, or risk management purposes.
